Particulars: 2.3 the borrower charges by way of a first fixed charge: A. its interest in all investments B. to the extent that they are not the subject of a mortgage or a first fixed charge under a legal charge or clause 2.2 (land), all plant and machinery owner by the borrower and its interest in any plant or machinery in its possession C. all of its rights in respect of any contract or policy of insurance taken out by it or on its behalf or in which it has an interest but excluding any rights under any liability insurance contract or policy in respect of liabilities of the borrower to third parties D. all of its intellectual property rights E. its goodwill (including, without limitation, the goodwill relating to any business carried on by it at any property) F. the benefit of any authorisation (statutory or otherwise) held in connection with its use of any security asset G. the right to recover and receive compensation which may be payable to it in respect of any authorisation referred to in paragraph (f) above H. its uncalled capital; I. The benefit of all rights in relation to any item in paragraphs (e) to (h) 2.4 floating charge A. the borrower charges by way of a first floating charge all of its assets not otherwise effectively mortgaged, charged or assigned under a legal charge or by way of a fixed mortgage, charge or assignment under this clause 2 B. except as provided below, the lender may by notice to the borrower convert the floating charge created by this clause 2.4 into a fixed charge as regards any of the borrower's assets specified in that notice if: (I) an event of default is continuing (ii) the lender considers those assets to be in danger of being seized or sold under any form of distress, attachment, execution or other legal process or to be otherwise in jeopardy C. the floating charge created by this clause 2.4 may not be converted into a fixed charge solely by reason of: (I) the obtaining of a moratorium or (ii) anything done with a view to obtaining a moratorium under section 1A of the insolvency act 1986 D. the floating charge created by clause 2.4 shall (in addition to the circumstances when this may occur under the general law) automatically convert into a fixed charge over all of the borrower's assets if an administrator is appointed or the lender receives notice of an intention to appoint an administrator in respect of the borrower E. the floating charge created by this clause 2.4 is a qualifying floating charge for the purpose of paragraph 14 of schedule B1 to the insolvency act 1986.
